The process of getting to a strategic, high value exit can be a complex and sometimes treacherous one, particularly if you haven’t done it before. We will guide you through it, ensuring that you get the best possible outcome.

Investor Readiness Assessment
We start by assessing your business through the eyes of a strategic or financial investor. Using our proprietary MIRA (MergeCo Investor Readiness Assessment) we can baseline the attractiveness of your business and work with you to optimise it for exit.
International Marketing Strategy
We do not simply advertise your business in the press, or post it on a website. We work with you to create a profile of the best possible purchaser of your business and then identify specific strategic acquirers or equity investors across global capital markets. A strategic acquirer or partner is one who will be most able to rapidly increase the value of your business. Because your intellectual property and customer base are immediately valuable to them, they are able to offer a higher premium for your business.
Managing the Negotiation Process
Once we have agreed on a set of strategic prospects, we will approach them individually to test their interest on a ‘no names’ basis. Where there is genuine interest, we will take steps to protect the confidential information of your business and then progress discussions to define the key commercial terms of a potential offer, usually under a Letter of Intent, which may include an indicative offer.
Due Diligence
Due diligence, confirmation of synergies, valuation and negotiation all proceed in parallel. This is an intense time for both parties and we act as a focal point for communication and coordination of information exchange, whilst also negotiating on your behalf.
Definitive Contracts and Close
There is often more than just a single contract to be negotiated and executed. Once we have agreed all the final terms of the deal we will execute the contract and oversee transfer of ownership activities and financial settlement.
